Terms of Service

1. Scope of Agreement

These Terms of Service ("Terms") govern the provision of software development services, including web and mobile development, custom solutions, cloud integrations, and technical support (collectively, the "Services") provided by **facebxusa** to its clients.

2. Service Provision

• Delivery: All Services are provided remotely. Specific project details, timelines, deliverables, and requirements will be outlined in a separate Statement of Work (SOW) or written agreement.
• Acceptance: Deliverables will be subject to client review and acceptance based on the criteria specified in the SOW.

3. Billing and Payment

• Pricing: Pricing is based on either fixed-price project scope or ongoing monthly retainer fees, as defined in the specific client agreement.
• Invoicing: Invoices are issued according to the agreed payment schedule (milestone completion or monthly).
• Payment: All payments are due upon receipt unless otherwise specified. Payment is processed securely via accepted payment methods (e.g., Stripe). Failure to pay may result in suspension of services.
• **Nature of Services:** All fees charged are for services rendered, and generally non-refundable once the work is commenced.

4. Intellectual Property

Upon full payment for the Services, and unless otherwise specified in the SOW, the client shall own the intellectual property rights to the custom code and deliverables created specifically for them under the agreement.

5. Warranties and Limitation of Liability

We warrant that the Services will be performed in a professional and workmanlike manner. **facebxusa** shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the developed software.
